Anthropic founders plan voting control structure before public market debut
AI powerhouse Anthropic is seeking shareholder approval for a multi-founder voting arrangement similar to structures used at Meta and Snap to maintain leadership influence after going public.

AI research company Anthropic is preparing to go public with a safeguard designed to keep its founding team in control. The startup plans to present shareholders with a proposal granting its seven co-founders — led by CEO Dario Amodei — concentrated voting power through specially designed shares before the IPO.
A Super-Voting Arrangement#
The structure would grant the founding group a combined 50.1% of voting rights on most major corporate decisions, provided at least three co-founders maintain meaningful equity stakes. Each share carries no additional economic benefit; rather, it's purely a voting mechanism. The arrangement mirrors strategies deployed by Facebook's Mark Zuckerberg and Snap's Evan Spiegel to preserve founder influence after taking companies public.
What distinguishes Anthropic's approach is the collective nature of the arrangement — rather than a single founder maintaining control, voting power is distributed across the seven-person founding group.
The Founders' Position#
Individually, the co-founders own just 2% of Anthropic each, despite their leadership roles. Notably, they've committed to giving away 80% of their personal wealth, a pledge CEO Amodei made public in January alongside broader concerns about how AI-driven wealth concentration could strain social stability. The voting control mechanism allows them to guide the company's direction without requiring disproportionate economic stake.
The arrangement includes additional governance features: Anthropic's Long-Term Benefit Trust retains authority to appoint most board members, founder board representation rises from two to three seats, and employees receive equity with the ability to break ties on certain matters.
Valuation and IPO Timing#
Five-year-old Anthropic reached a $965 billion valuation last spring, with more recent secondary market transactions placing the company at $1.5 trillion. That higher valuation is expected to inform the terms of its eventual public listing.
